This is a legal agreement between you and GMR Transcription ("Company"). By submitting your online application and referring visitors, you acknowledge that you have read, understood, and agree to be legally bound by every term and condition in this Agreement.
1. Overview
This Agreement governs your participation in the GMR Transcription Affiliate Program (the "Program"). The Program enables you to refer potential customers to GMR Transcription by placing links on your website. You will receive a commission for each referred customer who purchases our services.
2. Affiliate Obligations
2.1. Application and Approval
- Complete and submit the online application form on the GMR Transcription website.
- We will review your application and may reject it for any reason.

Applications will not be approved for websites that:
- Promote sexually explicit content, violence, discrimination, or illegal activities.
- Infringe on intellectual property rights.
- Include your domain name in the GMR Transcription brand or mimic our site to mislead customers.
- Contain software downloads that could divert commissions.
- Promote get-rich-quick schemes.
2.2. Website Requirements
- Your website must be fully functional and comply with all applicable laws.
- You must maintain a privacy policy explaining how customer information is collected and used.
2.3. Affiliate Tools and Links
- As a member, you’ll have access to an Affiliate Control Panel, which contains program details, campaigns, and HTML codes for our banners and text links.
- Use the provided code to ensure proper tracking.
2.4. GMR Transcription Review
- We reserve the right to review how you place our links and require adjustments if needed.
- You are responsible for updating and maintaining your website.
2.5. Intellectual Property
- Comply with all applicable intellectual property laws and ensure you have permission to use any copyrighted material on your site.
2.6. Agreement Updates
- We may modify this Agreement at any time.
- You will be notified via email, and continued participation means you accept the changes.
3. GMR Transcription Rights and Obligations
3.1. Website Monitoring
- We may monitor your website to ensure compliance and notify you of required changes.
- Non-compliance may result in termination of your participation.
3.2. Fraudulent Activity
- We monitor for fraudulent activities (e.g., artificially inflating clicks or conversions).
- If fraud is detected, we will withhold payment and may terminate your account.
4. Term and Termination
- This Agreement becomes effective when we accept your application and continues until terminated by either party.
- Either party may terminate the Agreement with three (3) business days' written notice.
- All earned commissions up to the termination date will be paid in the next billing cycle, subject to final accounting.
5. Commissions & Payment
5.1. Commission Rate
- GMR Transcription operates on a pay-per-sale (PPS) model.
- You earn a 10% commission on each referred customer's service fees.
5.2. Payment Schedule
- Payments are made approximately every 30 days by company check, 15 days after the previous period.
- Payment may be withheld until clients have paid us and for any Agreement violations.
- All payments are in U.S. dollars.
5.3. Data and Disputes
- We will supply data to determine your billing and compensation.
- Any disputes or questions about this data must be submitted within five (5) business days of receipt.
5.4. Commission Earning and Forfeiture
- Only commissions tracked through your termination as an Affiliate are payable.
- Affiliates removed for non-compliance will forfeit any outstanding commissions.
- Payment may be held until commissions reach a minimum threshold ($100).
5.5. Tax Requirements
- U.S. residents must submit a W-9 form.
6. Affiliate Control Panel Access
- You will create a login (using your email address) and password to access your secure affiliate account.
- You are responsible for keeping your password confidential and are liable for all actions taken using your account.
7. Promotion Restrictions
7.1. Prohibited Advertising

The following advertising methods are prohibited:
- Spamming or unsolicited commercial email (UCE)
- Posting in non-commercial newsgroups or cross-posting
- Concealing or misrepresenting your identity or domain name
- Mailing to non-customers or unauthorized subscribers
7.2. Trademark Restrictions
- Do not bid on keywords related to GMR Transcription in pay-per-click campaigns.
- Trademark violations may lead to immediate termination.
7.3. Lead Generation Restrictions
- You must not misrepresent or falsify leads.
7.4. Interstitials, Pop-ups, and Parasite Marketing
- Use of interstitial ads, deceptive pop-ups, or parasiteware is prohibited.
7.5. FTC Compliance
- You must adhere to FTC guidelines on testimonials and endorsements, clearly disclosing any relationship with GMR Transcription.
7.6. Permitted Promotion Methods
- You are encouraged to promote our services using your marketing efforts, both online and offline.
8. Grant of Licenses; Confidentiality
8.1. License Grant
- GMR Transcription grants you a non-exclusive, non-transferable, revocable license to use our logos and trademarks in connection with the Program as long as you remain in good standing.
8.2. Confidentiality
- Both parties agree to keep any proprietary information, including the terms of this Agreement, confidential.
9. Disclaimer
GMR Transcription makes no warranties regarding the Program or its services. We are not liable for any interruptions or errors in the operation of our website.
10. Representations and Warranties
You represent and warrant that:
- You have the authority to enter into this Agreement.
- Your participation does not infringe on any intellectual property rights.
11. Limitations of Liability
GMR Transcription is not liable for any indirect, incidental, consequential, or special damages arising from this Agreement. Our total liability shall be limited to the commission fees you pay.
12. Indemnification
You agree to indemnify and hold harmless GMR Transcription, its affiliates, and its officers, employees, and agents from any claims, damages, or expenses arising from:
- Any infringement of intellectual property rights resulting from your promotional activities.
- Any breach of this Agreement by you.
- Any misrepresentation or warranty breach you made.
You must promptly notify us of any claims or legal actions related to these matters. We reserve the right to assume the exclusive defense and control of any such matter at our expense.
13. Miscellaneous
13.1. Independent Contractor Relationship
- You are an independent contractor. This Agreement does not create a partnership, joint venture, or employment relationship between you and GMR Transcription.
13.2. Assignment
- Neither party may assign its rights or obligations under this Agreement without the other party's prior written consent.
13.3. Governing Law and Jurisdiction
- This Agreement shall be governed by the laws of the State of [State]. Any disputes arising from this Agreement shall be exclusively resolved in the state or federal courts in [City, State].
13.4. Entire Agreement
- This Agreement constitutes the entire agreement between you and GMR Transcription and supersedes all prior agreements and understandings regarding the Program.
13.5. Severability
- If any provision of this Agreement is deemed unenforceable, the remaining provisions will continue in full force and effect.
13.6. Notices
- All notices under this Agreement must be in writing and will be deemed delivered when sent via certified mail, delivered personally, or sent by email to the designated addresses.
13.7. Force Majeure
- Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, or government actions.
By participating in the GMR Transcription Affiliate Program, you agree to be bound by the terms of this Agreement.
